OVERVIEW

Under the direction of and assignment by the General Counsel or his designee, provides a complete range of corporate legal services to the Company.  Responsibilities include advising directors, officers, and managers as to legal risk and contract strategy.  Assists the General Counsel in supervision of contract transactional work, proposal reviews, and contract comments and negotiation; management and maintenance of Company forms including subcontracts, purchase orders, and equipment lease agreements; support for litigation management as related to contractual relationship claims; supporting corporate risk management including conferring with Risk Management team regarding the acquisition and maintenance of the insurance policies; interface with Company departments as relates to contract negotiations and client/customer requirements; advising on real estate contracts including purchases, financing sales and leases; and, as needed, oversight of corporate structure and licensing, including structuring business entities, mergers, acquisitions, and maintenance of corporate records.

EDUCATION

 

J.D. required as well as a current licensed to practice law in the State of Texas.

 

QUALIFICATIONS AND EXPERIENCE

 

Minimum of ten (10) years’ experience practicing law. Experience with general contractors working in EPC preferred.

 

TYPICAL DUTIES AND RESPONSIBILITIES

  • Provides legal advice to directors, officers, and management as to legal risk and contract strategy; interfaces with various Company departments as relates to contract negotiations and client/customer requirements.
  • Oversees assigned contract transactional work, client proposal reviews, contract drafting and comments, and contract negotiation with customers/clients and vendors. Comments on and negotiates changes to contracts, while negotiating favorable contract terms and conditions for Company.
  • Assists Project Managers and Project Teams with project-related legal issues, including contract summaries, flow downs, warranty claims, and proposals review.
  • Management and maintenance of Company forms including subcontracts, purchase orders, and equipment lease agreements.
  • Supervises and supports litigation matters related to contractual relationship claims including worker's compensation, personal injury, automobile liability, and other types of claims.
  • Provides legal advice as to contractual obligations and contract interpretation regarding legal risk. Supports corporate risk management including conferring with Risk Management team regarding the acquisition and maintenance of the insurance policies as related to contractual needs. 
  • Advises on real estate contracts including purchases, financing sales and leases. Negotiates both sale and purchase of real estate, as well as leases of corporate office space.
  • As needed, oversees and manages acquisitions, mergers, and sales of corporate entities, including completion of due diligence, negotiation of terms of sale, and maintenance of corporate records associated with corporate deal work.
  • As needed, oversight of corporate structure and licensing, including structuring business entities (including joint ventures), mergers, acquisitions, and maintenance of corporate records.
  • May represent the Company before federal, state, and local agencies, and courts.

LANGUAGE SKILLS

 

Ability to read, comprehend, analyze, and write legal documents.  Ability to read and comprehend laws and regulations.  Ability to articulate legal position and arguments in negotiations.

General mathematical and financial knowledge.

 

PHYSICAL DEMANDS

 

Regular attendance at work is required. Occasionally, will conduct or participate in a field trip to project sites, travel to client locations.  This requires the ability to hear, stand, walk, reach, climb and balance, clear close and distant vision, depth perception and ability to focus.  Ability to work extended hours and irregular hours.  Lifting 25 pounds may be required.

 

WORK ENVIRONMENT

 

Office work environment with moderate noise.  Irregular and extended hours may be necessary.  Occasionally, may visit project locations or owners’ offices.  Visits to project sites may require exposure to outdoor weather conditions, loud noise, work near moving mechanical parts, electrical energy, construction equipment, vibration, fumes, chemicals, and airborne particles.
